Our commitment to transparent and fair service terms for our AI-powered development platform

Section 1

Service Agreement

These Terms of Service ("Terms") establish a binding legal agreement between you and the Coderblock group of companies:

  • Coderblock, Inc - a corporation organized under the laws of the State of Florida, United States, providing services to users outside the European Union.
  • Coderblock Srl - a limited liability company organized under Italian law, providing services to users within the European Union, including the Launch Offer program.

Collectively referred to as "Coderblock," "we," "us," or "our." By accessing or using our AI-powered development platform at coderblock.ai ("Platform") and related services ("Services"), you:

  1. Confirm that you have thoroughly read and understood these Terms
  2. Agree to comply with all provisions outlined herein
  3. Accept our Privacy Policy as incorporated by reference
  4. Commit to following all applicable laws and regulations

For business entities: By accepting these Terms, you represent that you possess the necessary authority to bind your organization to this agreement.

The applicable contracting entity depends on your location: users in the European Union contract with Coderblock Srl; all other users contract with Coderblock, Inc. We reserve the right to modify these Terms at our discretion. Updated Terms will be posted with an updated "Last Modified" date.

Section 2

Platform Services & License

Subject to your compliance with these Terms, Coderblock grants you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for both personal and commercial purposes, in accordance with your selected subscription tier.

Our Services Include:

  • AI-powered code generation and development assistance
  • Web application building and deployment tools
  • Template libraries and component systems
  • Project collaboration and management features
  • Cloud hosting and preview environments

This license terminates immediately upon: (a) violation of these Terms, (b) account suspension or termination, or (c) expiration of your subscription period without renewal.

Section 3

Intellectual Property & Ownership Rights

Coderblock's Intellectual Property

Coderblock retains exclusive ownership of all intellectual property rights in our Platform, including but not limited to:

  • The Coderblock platform, software architecture, and underlying technology stack
  • Proprietary AI models, algorithms, and machine learning systems
  • User interface designs, visual elements, and brand assets
  • Documentation, tutorials, and educational content
  • All improvements, enhancements, and derivative works thereof

Your Ownership Rights

You maintain full ownership of all content, code, and applications you create using our Services, including:

  • Original code and projects developed through our Platform
  • User-generated content and custom configurations
  • Data and files uploaded to your projects
  • Applications and websites built using our tools

All rights not explicitly granted to you are reserved by Coderblock. No license or right is granted by implication, estoppel, or otherwise.

Section 4

Platform Protection

The following provisions are designed to protect the Coderblock platform, its proprietary technology, and the integrity of our services. These terms apply to all users, including those who receive projects through the Launch Offer program.

Proprietary Technology

The Coderblock platform comprises proprietary technology that remains the exclusive property of Coderblock at all times. This includes, without limitation: AI agents and orchestration systems, prompt engineering and instruction sets, code generation templates and scaffolding systems, build and deployment pipelines, preview and hosting infrastructure, UI component libraries and design systems distributed as part of the platform. The user receives only the output code generated for their specific project, not access to or rights over the underlying technology.

Reverse Engineering Prohibition

You shall not, directly or indirectly: (a) reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, algorithms, or architecture of the Coderblock platform; (b) reproduce, replicate, or reconstruct the AI prompts, code generation logic, or template systems; (c) use automated tools, scraping, or systematic extraction methods to collect information about the platform's internal operations; (d) attempt to circumvent, disable, or interfere with any security or access-control features of the platform.

Non-Competition Clause

The code, templates, and outputs received from Coderblock may not be used, in whole or in part, to create, develop, or operate a service, platform, or product that competes with or substantially replicates the functionality of Coderblock.ai. This prohibition applies to both direct competition and the use of Coderblock outputs as a foundation for competing services.

Technology Redistribution

You may not resell, sublicense, distribute, or otherwise make available the Coderblock platform technology, templates, AI systems, or build infrastructure to any third party. This restriction does not apply to the output code of your own projects: you are free to use, modify, distribute, and commercialize your project code without restriction.

Portfolio & Showcase Rights

Coderblock reserves the right to use projects created on the platform as case studies, portfolio items, or promotional materials. We may display screenshots, descriptions, and anonymized technical details. If you prefer that your project not be showcased, you may request anonymization or exclusion by contacting legal@coderblock.ai.

Infrastructure Dependencies

Projects hosted on the Coderblock platform utilize shared infrastructure services including, but not limited to, cloud compute (Fly.io), object storage (AWS S3), and managed databases (NeonDB). While you own your project code and may export it at any time, migrating a project to external infrastructure is your sole responsibility. Coderblock provides no migration assistance, and compatibility with external hosting environments is not guaranteed.

Section 5

Launch Offer Terms

The following terms apply specifically to the Coderblock Launch Offer ("Offerta Lancio"), a one-time purchase program through which the Coderblock team develops a web application MVP on behalf of the customer. The Launch Offer is operated by Coderblock Srl for EU customers and Coderblock, Inc for all other customers.

Scope & Process

The Launch Offer includes the development of one (1) web application project based on the description provided by the customer through the designated project description page. The process follows these steps: (1) the customer submits a project description via the thank-you page after purchase; (2) the Coderblock team may ask clarifying questions through the Q&A system; (3) the customer confirms the final project description; (4) the Coderblock team develops the project; (5) the project is delivered on the Coderblock.ai platform.

"As Seen, As Accepted" Delivery

The project is delivered based on the information provided by the customer in the project description and Q&A exchanges. The customer acknowledges and accepts that: (a) the delivered project constitutes a Minimum Viable Product (MVP) and not a complete production-ready application; (b) the final result is determined by the Coderblock team's professional interpretation of the provided description; (c) the project is accepted in its entirety upon delivery ("as seen, as accepted"); (d) subjective expectations not explicitly documented in the project description do not constitute grounds for dispute.

Included Revisions

The Launch Offer includes up to two (2) cycles of minor revisions within thirty (30) calendar days from the date of project delivery. Minor revisions are limited to: bug fixes for clearly broken functionality, text and copy corrections, minor styling adjustments (colors, fonts, spacing). The following are explicitly excluded from minor revisions and require a separate engagement and quote: new features or functionality not in the original description, structural changes to the application architecture, redesign of pages or components, integration with new third-party services, database schema changes beyond the original scope.

Included Subscription (12 Months)

The Launch Offer purchase includes twelve (12) months of hosting and platform access, starting from the date of project delivery. During this period, the customer has full access to the Coderblock.ai platform features associated with their project, including preview environments, production hosting, and the ability to continue developing the project via the AI chat interface. Upon expiration of the 12-month period, the customer may renew the subscription independently at the then-current subscription rates. If the subscription is not renewed, the project will remain stored but hosting and preview services will be suspended until a new subscription is activated.

Code Ownership & Export

The customer owns the source code generated for their project and may export it at any time. This ownership applies to the project-specific code and does not extend to the Coderblock platform technology, templates, or infrastructure (see Platform Protection section).

Refund Policy

Once development has commenced (defined as the moment the customer confirms the final project description via the "Confirm and Submit" action on the project description page), the Launch Offer purchase is non-refundable. Prior to development commencement, refund requests may be submitted to support@coderblock.ai and will be evaluated on a case-by-case basis.

Delivery Timeline

Coderblock commits to delivering the project within a reasonable timeframe. However, no specific delivery date or deadline is guaranteed. Delivery times may vary based on project complexity, team workload, and the clarity of the provided description. The customer will be kept informed of progress through the platform.

Section 6

Data Handling & AI Training

We collect and process data to provide our Services, enhance platform performance, and improve our AI capabilities. This section clarifies how we handle different types of data:

Platform Analytics (Coderblock Owned)

We collect technical metadata and usage statistics, including:

  • Feature usage patterns and performance metrics
  • System logs, error reports, and diagnostic data
  • Browser information and session analytics

This data helps us maintain service quality, troubleshoot issues, and develop new features. It never includes your source code or personal information.

User Content (You Own)

Your projects, code, and uploaded content remain your property. We may use this data to:

  • Provide platform services and technical support
  • Generate code suggestions and AI assistance
  • Improve our AI models and algorithms (with limitations)

Business & Enterprise Plans: Users can opt-out of AI training and request data deletion. Contact privacy@coderblock.com to exercise these options.

Personal Information Protection

We never use personally identifiable information (names, emails, addresses) for AI training purposes. Personal data is processed solely for account management, billing, and customer support in accordance with our Privacy Policy.

Section 7

Service Limitations & Disclaimers

AI-Generated Content Disclaimer

Our AI-powered tools are designed to assist in development but may produce code that requires review, testing, and modification. We do not guarantee that AI-generated content will be error-free, secure, or suitable for production use without proper validation.

Service Provided "As Is"

Our Platform and Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Coderblock disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • Our Services will be uninterrupted, secure, or error-free
  • AI-generated code will meet your specific requirements
  • Platform availability will meet any particular uptime standard
  • Data loss or security breaches will not occur

Your use of our Services is at your own risk. We recommend implementing proper testing, security reviews, and backup procedures for any production applications.

Section 8

Limitation of Liability

Limitation of Damages

In no event shall Coderblock, Inc, Coderblock Srl, their officers, directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, arising from your use of our Services.

Maximum Liability Cap

Our total liability for all claims related to our Services, regardless of the form of action, shall not exceed the amount you paid to Coderblock in the twelve (12) months preceding the claim.

We are not responsible for:

  • Issues arising from AI-generated code implementation
  • Third-party service integrations or dependencies
  • Data security breaches in your deployed applications
  • Business losses due to platform downtime
  • Compatibility issues with external systems

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential damages, so these limitations may not apply to you.

User Rights & Legal Framework

Governing Law

For users contracting with Coderblock, Inc: these Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Miami-Dade County, Florida.

For users contracting with Coderblock Srl (EU users, including Launch Offer customers): these Terms are governed by Italian law. Any disputes shall be resolved by the competent courts of Italy, without prejudice to mandatory consumer protection provisions of the user's country of residence.

California Users

California residents may have additional rights under the California Consumer Privacy Act (CCPA) and other state laws. Please refer to our Privacy Policy for details.

EU Users

Users within the European Union benefit from consumer protection rights under EU law, including the right of withdrawal where applicable. For the Launch Offer, the right of withdrawal expires upon commencement of development (confirmation of the project description), in accordance with Article 16(a) of Directive 2011/83/EU regarding digital content.
